AgentEnginez Terms of Service

1. Acceptance of Terms

By creating an AgentEnginez account, subscribing to the service, or otherwise accessing the platform, you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any additional policies referenced herein. If you do not agree, do not use the service. These Terms form a binding agreement between you and DevelopingRiches, Inc. (operating as “AgentEnginez,” “we,” “us,” or “our”).

2. Service Description

AgentEnginez is a Software-as-a-Service marketing automation platform for licensed real estate professionals. The service includes, without limitation, AI-generated listing copy, multi-channel social media publishing, direct mail fulfillment, lead chatbots and follow-up automation, market reports, review management, and related dashboards and integrations. Specific features available depend on your subscription tier.

3. Account Eligibility

To use AgentEnginez you represent and warrant that you are:

• A licensed real estate professional in good standing in the United States;
• At least 18 years of age;
• Legally able to enter into this agreement on your own behalf or on behalf of the entity you represent.

4. Subscription & Billing

AgentEnginez is offered on a monthly recurring subscription with the following tiers, billed in advance via Stripe:

• Starter — $397/month — includes a 14-day free trial.
• Growth — $697/month — includes a 14-day free trial.
• Autopilot — $1,197/month — includes a 30-day money-back guarantee.

You may cancel at any time from your dashboard. Cancellation takes effect at the end of the then-current billing period. We do not pro-rate refunds for partial months, except as expressly provided by the Autopilot 30-day money-back guarantee. Pricing may change with at least 30 days’ notice prior to the next renewal.

5. Acceptable Use

You agree that you will not:

• Use the service to send spam or content that violates the CAN-SPAM Act, TCPA, or any other applicable law;
• Use the service in a manner that violates your local Multiple Listing Service (MLS) rules or your real estate board’s requirements;
• Use the service to scrape, copy, or republish a competitor’s listings or content without rights;
• Publish listings or marketing content for properties you do not own or have explicit written authorization to market.

6. MLS Compliance

The agent (you) is solely responsible for ensuring that all use of MLS data, IDX displays, and listing content complies with the rules of your local MLS, real estate board, and applicable IDX policy. AgentEnginez provides tooling but does not act as your compliance officer.

7. Social Media & Advertising Compliance

The agent is solely responsible for compliance of all published content with the Fair Housing Act, Fair Housing rules, the Truth in Advertising standards of the National Association of REALTORS®, the rules of TREC (or your equivalent state regulator), and the platform policies of Meta, LinkedIn, and any other publishing surface. You are responsible for reviewing AI-generated content before publication where required by your jurisdiction.

8. Intellectual Property

You retain all rights to the listing, brand, and personal content you upload or generate through the service. By using AgentEnginez you grant us a non-exclusive, worldwide, royalty-free license to process, store, transmit, distribute, and display that content solely to provide the service on your behalf. We retain all rights to the AgentEnginez platform, software, and trademarks.

9. Disclaimers

The service is provided on an “as is” and “as available” basis. AgentEnginez makes no guarantee of any specific number of leads, listings, appointments, or closed sales. AgentEnginez does not provide legal, fiduciary, brokerage, or financial advice. All real estate decisions remain the responsibility of the agent and their clients.

10. Limitation of Liability

To the maximum extent permitted by law, AgentEnginez’s aggregate liability arising from or related to the service is capped at the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, or lost business opportunities.

11. Indemnification

You agree to defend, indemnify, and hold harmless AgentEnginez, DevelopingRiches, Inc., and their officers, employees, and agents from any claim arising out of (a) your use of the service, (b) your violation of these Terms, (c) your violation of any MLS, real estate board, or advertising rule, or (d) the content you upload, generate, or publish through the service.

12. Termination

Either party may terminate this agreement with 30 days’ written notice for any reason. AgentEnginez may terminate immediately for material breach, abuse of the service, non-payment, or activity that risks our infrastructure or platform integrity.

13. Governing Law

These Terms are governed by the laws of the state of incorporation of DevelopingRiches, Inc., without regard to its conflict-of-laws principles.

14. Dispute Resolution — Binding Arbitration

Any dispute arising from or relating to these Terms or the service will be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, on an individual basis only. Class actions, class arbitrations, and representative actions are not permitted. Either party may seek injunctive relief in court for intellectual property or confidentiality matters.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised “Last Updated” date and, where appropriate, notified by email. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
